Terms of Use

01 Eligibility

You must be at least thirteen (13) years old to create a Tabletop Treasures account. If you are under the age of legal majority where you live, you represent that you have the permission of your parent or legal guardian to use the Site and agree to these Terms. You may not create or use an account if you are prohibited from doing so under applicable law. Tabletop Treasures may establish additional eligibility requirements for particular activities or portions of the Site when reasonably necessary.

02 Your Tabletop Treasures Account

Certain portions of the Site may require you to create an account. You agree to:

• provide accurate and reasonably current registration information;
• maintain the security of your password and account credentials;
• promptly update information that materially affects your account;
• use only an account you are authorized to use; and
• notify Tabletop Treasures if you reasonably believe your account has been accessed or used without authorization.

You are responsible for activity occurring through your account to the extent permitted by law. You may not sell, transfer, impersonate another person through, or knowingly provide unauthorized access to your account. Tabletop Treasures may require verification of your email address or other information reasonably necessary to protect account security.

03 Character Name and Handle

Your Tabletop Treasures account may include a Character Name and unique Handle used to identify you within the Site. Character Names and Handles must not:

• impersonate another person or organization;
• falsely suggest an affiliation with Tabletop Treasures or another entity;
• infringe another person's intellectual-property or other legal rights;
• contain unlawful, threatening, hateful, obscene, or intentionally abusive material;
• contain information intended to deceive, defraud, or harm others; or
• violate reasonable naming standards established by Tabletop Treasures.

Tabletop Treasures may remove, modify, restrict, or require a change to a Character Name or Handle that violates these Terms or creates a reasonable security, legal, impersonation, or abuse concern. The availability or use of a Character Name or Handle does not grant you trademark, ownership, or other proprietary rights in that name.

04 Business Accounts

Tabletop Treasures offers a separate "Business" account type for game stores, conventions, and other event organizers ("Business Accounts"). By selecting the Business account type, you represent that you are authorized to create and manage an account on behalf of the business you identify, using that business's actual name.

Business Accounts may publish events to the Site's public calendar immediately upon creation, without prior verification. Tabletop Treasures does not verify a Business Account's authenticity before it is created or before it begins publishing events. However, Tabletop Treasures may, at its discretion and at any time:

• contact a Business Account to confirm it is authorized to represent the business it identifies;
• request information reasonably necessary to confirm that authorization;
• suspend, restrict, or reassign a Business Account, and any events or content associated with it, if Tabletop Treasures reasonably believes the account misrepresents its affiliation with a business; and
• reassign events originally curated by Tabletop Treasures to a Business Account, through the event-claim process described below, once that account's authorization to represent the relevant business has been confirmed.

A Business Account may request reassignment of events already associated with its business by submitting a claim request through the Site. Submitting a claim request that falsely represents your authority to act on behalf of a business violates the Acceptable Use section of these Terms and may result in suspension or termination of your account.

Certain information associated with a Business Account — including its business name, Handle, hosted-games list, and any address, phone number, website, or social-media links it provides — is displayed publicly on the Site by design, unlike the private-by-default Player experience described in Section 03. See the Privacy Policy for more detail.

05 Limited Right to Use the Site

Subject to your compliance with these Terms, Tabletop Treasures grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Site for its intended purposes. This permission does not transfer ownership of any portion of the Site or Tabletop Treasures content to you. Except where expressly permitted by Tabletop Treasures or applicable law, you may not:

• copy or reproduce substantial portions of the Site;
• modify, distribute, sell, lease, sublicense, or commercially exploit TT-owned Site content;
• reverse engineer or attempt to extract source code from Site technology;
• bypass or interfere with security or access controls;
• use automated means to access the Site in a manner that creates unreasonable load or violates posted restrictions; or
• use Tabletop Treasures intellectual property in a manner that falsely suggests sponsorship, endorsement, or affiliation.

06 Tabletop Treasures Intellectual Property

The Site and TT-owned materials made available through it—including names, logos, branding, graphics, designs, text, photographs, videos, interfaces, original content, and other materials—may be protected by copyright, trademark, and other intellectual-property laws. Except for the limited right to use the Site granted by these Terms, Tabletop Treasures and its licensors retain all rights in their respective intellectual property. "Tabletop Treasures," associated logos, and other TT branding may not be used without prior written permission except as permitted by applicable law. Third-party names, games, products, trademarks, artwork, and other intellectual property remain the property of their respective owners. Reference to a third-party product, company, game, or property does not by itself imply sponsorship, affiliation, or endorsement.

07 Acceptable Use

You agree not to use the Site to:

• violate applicable law or regulation;
• commit fraud or facilitate fraudulent conduct;
• gain unauthorized access to accounts, systems, or data;
• interfere with the normal operation or security of the Site;
• introduce malware, malicious code, or harmful technology;
• scrape, harvest, or collect personal information from other users without authorization;
• harass, threaten, stalk, exploit, or intentionally harm another person;
• impersonate another person or misrepresent your identity or affiliation;
• manipulate Site functionality, rewards, progression, transactions, or other systems through fraud or abuse;
• use bots, scripts, multiple accounts, coordinated activity, or other methods primarily intended to circumvent restrictions or obtain benefits improperly;
• submit unlawful or infringing material; or
• encourage another person to violate these Terms.

Tabletop Treasures may investigate suspected abuse and may restrict or suspend access when reasonably necessary to protect users, the Site, Tabletop Treasures, or third parties.

08 User Submissions

You may have opportunities to provide information, messages, feedback, reviews, comments, inquiries, or other materials to Tabletop Treasures ("User Submissions"). You retain ownership of intellectual property you lawfully own in your User Submissions. By submitting material that is intended to be displayed, distributed, processed, or otherwise used through the Site, you grant Tabletop Treasures a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and use that material to the extent reasonably necessary to operate, provide, improve, administer, or promote the relevant Site functionality. You represent that you have the rights necessary to submit the material and permit its use as described above. You may not submit material that:

• infringes another person's intellectual-property or privacy rights;
• is unlawful;
• contains malicious software;
• intentionally contains false or fraudulent information;
• unlawfully discloses another person's personal information; or
• otherwise violates these Terms.

Tabletop Treasures is not obligated to publish, retain, or distribute every User Submission.

09 Feedback and Suggestions

If you voluntarily provide Tabletop Treasures with ideas, suggestions, recommendations, concepts, or other feedback regarding TT or the Site, you agree that Tabletop Treasures may use that feedback without restriction or obligation to compensate you, provided that this section does not transfer ownership of material unrelated to the feedback itself. Please do not submit confidential business information or intellectual property to Tabletop Treasures as general feedback unless a separate written agreement applies.

10 Privacy

Your privacy is important to Tabletop Treasures. Our collection, use, storage, and disclosure of personal information is described in the Tabletop Treasures Privacy Policy, which is incorporated into these Terms by reference. You should review the Privacy Policy before creating an account. Acceptance of these Terms does not constitute consent to receive optional marketing communications where separate consent is required or offered.

11 Electronic Communications

By creating an account and using the Site, you agree that Tabletop Treasures may provide account-related and service-related communications electronically, including communications concerning:

• account verification;
• account security;
• password recovery;
• changes affecting your account;
• important notices concerning Site activity in which you participate; and
• updates to legal terms or policies where appropriate.

Optional promotional or marketing communications may be subject to separate preferences or consent. You are responsible for maintaining an email address capable of receiving important account communications.

12 Third-Party Content and Links

The Site may reference, display, or link to websites, products, content, events, businesses, or resources operated by third parties. Tabletop Treasures does not control third-party websites or resources and is not responsible for their availability, accuracy, security, policies, practices, products, or services. Your interaction with a third party may be governed by separate terms and privacy policies. A link, listing, reference, or mention does not necessarily constitute endorsement by Tabletop Treasures.

13 Site Availability and Changes

Tabletop Treasures may update, modify, improve, remove, suspend, or discontinue portions of the Site from time to time. We do not guarantee that every feature will always be available, uninterrupted, error-free, or unchanged. Tabletop Treasures may perform maintenance, address security issues, respond to legal requirements, or modify the Site as the business evolves. Where reasonably practical, we may provide notice of material changes that substantially affect registered users.

14 Suspension and Termination

You may stop using the Site at any time and may request deletion of your account as described through available account controls or our Privacy Policy. Tabletop Treasures may suspend, restrict, or terminate an account if we reasonably determine that:

• these Terms have been materially violated;
• the account is being used fraudulently or unlawfully;
• the account presents a security risk;
• suspension is reasonably necessary to protect another person or Tabletop Treasures;
• continued access would expose Tabletop Treasures to legal or regulatory risk; or
• applicable law requires the action.

Where appropriate and reasonably practicable, Tabletop Treasures may provide notice or an opportunity to correct a violation before permanent termination. Termination does not eliminate rights or obligations that by their nature should survive termination, including intellectual-property protections, disclaimers, limitations of liability, indemnification obligations, and dispute-related provisions.

15 No Guarantee of Rewards or Benefits

Tabletop Treasures may make promotional benefits, discounts, credits, rewards, progression, or other account-related benefits available from time to time. Unless expressly stated otherwise:

• such benefits have no cash value;
• they are not transferable;
• they may be subject to eligibility requirements or expiration dates;
• they may not be combined with other offers;
• they may be limited, modified, corrected, or revoked when issued in error or obtained through abuse or fraud; and
• they do not constitute property owned independently of the Tabletop Treasures account.

Specific terms displayed with a particular reward, promotion, or benefit will control if they conflict with this general section. Nothing in this section permits Tabletop Treasures to retroactively deny a benefit that has already been validly redeemed in accordance with its applicable terms.

16 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TABLETOP TREASURES DISCLAIMS WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED. TABLETOP TREASURES DOES NOT WARRANT THAT:

• THE SITE WILL ALWAYS BE AVAILABLE OR ERROR-FREE;
• INFORMATION PROVIDED THROUGH THE SITE WILL ALWAYS BE COMPLETE OR CURRENT;
• DEFECTS WILL ALWAYS BE CORRECTED IMMEDIATELY; OR
• THE SITE WILL BE FREE FROM EVERY SECURITY THREAT OR TECHNICAL INTERRUPTION.

SOME JURISDICTIONS DO NOT PERMIT CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TABLETOP TREASURES AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TABLETOP TREASURES' TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID DIRECTLY TO TABLETOP TREASURES THROUGH THE SITE DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
• ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

18 Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Tabletop Treasures, LLC and its owners, officers, employees, contractors, agents, and affiliates from claims, liabilities, damages, losses, and reasonable costs arising from:

• your material violation of these Terms;
• your unlawful use of the Site;
• your infringement of another person's rights; or
• User Submissions provided by you that violate these Terms or applicable law.

Tabletop Treasures reserves the right to assume control of the defense of a matter otherwise subject to indemnification, in which case you agree to reasonably cooperate.

19 Governing Law

These Terms shall be governed by and interpreted under the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where applicable law requires otherwise. Any dispute that is not subject to another mutually agreed dispute-resolution procedure shall be brought in a court of competent jurisdiction as permitted by applicable law. Before production use, Tabletop Treasures may identify a more specific Pennsylvania venue in consultation with legal counsel.

20 Changes to These Terms

Tabletop Treasures may update these Terms from time to time. When material changes are made, we will update the "Last Updated" date and may provide additional notice through the Site, email, or another reasonable method. If a change requires renewed acceptance, continued account access may be conditioned upon your acceptance of the updated Terms. Changes will not apply retroactively where doing so would be prohibited by law.

21 Severability

If any provision of these Terms is found unenforceable, invalid, or unlawful, that provision shall be enforced to the maximum extent permitted or severed as appropriate, and the remaining provisions shall remain in effect.

22 No Waiver

Failure by Tabletop Treasures to enforce a provision of these Terms does not waive our right to enforce that provision or another provision later. A waiver is effective only if made by an authorized representative of Tabletop Treasures in writing.

23 Assignment

You may not transfer or assign your rights or obligations under these Terms without prior written consent from Tabletop Treasures. Tabletop Treasures may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, change in ownership, or other lawful business transaction.

24 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly presented for a particular transaction, promotion, or activity, constitute the agreement between you and Tabletop Treasures concerning your use of the Site. If specific terms presented for a particular activity conflict with these general Terms, the specific terms will control with respect to that activity.
